1. Contract Acceptance
By accessing our platform or utilizing procurement and sourcing services coordinated through Shree Ambica Exim, clients acknowledge and agree to comply with applicable statutory requirements, shipping regulations, and these Terms & Conditions. Sourcing commitments and guarantees apply only under validated contractual stipulations agreed between the parties.
2. Scope of Services
Shree Ambica Exim operates as an international merchant exporter, sourcing, procurement, and supply chain coordination partner. We facilitate the sourcing of products from appropriate suppliers and may coordinate logistics, documentation, freight, and export-related activities as outlined in specific quotations, purchase orders, contracts, or agreed scopes of work.
3. Pricing & Financial Commitments
All quotations, product prices, freight estimates, transportation charges, handling fees, and other commercial terms are subject to applicable changes in international tariffs, exchange rates, supplier pricing, freight costs, carrier surcharges, taxes, duties, and other circumstances affecting the transaction. Invoices and payments shall be governed by the payment terms and schedules agreed upon between the parties.
4. Shipping, Logistics & Risk
Transit timelines are estimates based on prevailing operational conditions and may be affected by supplier readiness, vessel schedules, port congestion, customs clearance, documentation requirements, weather, and other circumstances beyond our reasonable control. Risk of loss, delivery responsibility, and transfer of risk shall be determined in accordance with the applicable Incoterms, such as FOB, CIF, CFR, or other terms specified in the relevant quotation, purchase order, or commercial agreement.
5. Ethical Sourcing & Compliance
Shree Ambica Exim seeks to conduct sourcing and procurement activities in accordance with applicable laws, regulations, and responsible business practices. Where applicable, suppliers and manufacturing partners may be required to comply with relevant product, labor, environmental, safety, quality, and regulatory requirements applicable to their operations and the destination market.
6. Intellectual Property
The content, design, text, graphics, photographs, logos, visual elements, branding, and other materials appearing on the Shree Ambica Exim website are protected by applicable intellectual property laws and remain the property of Shree Ambica Exim or their respective licensors, where applicable. Unauthorized copying, reproduction, distribution, modification, or commercial use of such materials is prohibited without prior written permission.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Shree Ambica Exim shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from circumstances including supply chain delays, transportation disruptions, force majeure events, strikes, weather conditions, geopolitical events, port congestion, customs delays, regulatory changes, or other circumstances beyond our reasonable control.
8. Governing Law
These Terms & Conditions and the commercial relationships arising from transactions with Shree Ambica Exim shall be governed by the applicable laws and regulations of India, unless otherwise agreed in writing in the relevant commercial contract or purchase agreement. Any disputes shall be addressed in accordance with the dispute-resolution mechanism and jurisdiction specified in the applicable contractual documents.
